Terms of Service

The agreement governing an organization’s use of HutchHR.

Agreement and eligibility

Effective date: [EFFECTIVE DATE]. These Terms form an agreement between [LEGAL ENTITY NAME] (HutchHR, we, us) and the organization accepting them (Customer). By creating an account, ordering, or using HutchHR, Customer agrees to them.

The individual accepting these Terms represents that they are at least the age of majority where they live and have authority to bind Customer. If they do not have that authority, they must not use the Service.

Organization accounts and responsibilities

Customer is responsible for its workspace, its administrators, and all activity performed through its accounts. Customer must provide accurate information, keep credentials confidential, promptly notify us of suspected unauthorized use, and ensure its users comply with these Terms and the Acceptable Use Policy.

Customer is responsible for determining which personnel may access employee, payroll, performance, leave, and document information, and for using roles and permissions appropriately. Interface controls support administration but do not replace Customer’s own authorization, employment, or compliance duties.

The Service and permitted use

HutchHR provides HR information-system functionality that may include employee records, organization management, leave, performance, documents, reporting, notifications, role-based access, payroll calculations, payslips, statutory summaries, and bank-ready export files. Features may vary by plan and configuration.

Subject to these Terms, we grant Customer and its authorized users a limited, non-exclusive, non-transferable, revocable right to use the Service during the subscription term for Customer’s internal business purposes.

  • Do not use the Service unlawfully or in breach of the Acceptable Use Policy.
  • Do not share credentials, circumvent access controls, probe the Service, or interfere with its operation.
  • Do not upload content you lack the right to use or direct HutchHR to process data unlawfully.

Subscriptions, fees, and changes

Subscription scope, fees, payment terms, renewal, taxes, and cancellation terms are [SUBSCRIPTION TERMS / ORDER FORM PLACEHOLDER]. Customer must pay undisputed charges when due. We may change the Service, including features and interfaces, provided we do not materially reduce the subscribed core service during a paid term except for security, legal, or operational reasons.

Data, intellectual property, and confidentiality

Customer retains all rights in Customer Data. Customer grants HutchHR the limited right to host, copy, transmit, and otherwise process Customer Data solely to provide, secure, support, and improve the Service as permitted by applicable law and the DPA.

We and our licensors retain all rights in the Service, documentation, and feedback. Each party must protect the other’s confidential information using reasonable care and may use it only to perform this agreement, subject to legal disclosure requirements.

Third parties, availability, suspension, and termination

The Service may interoperate with third-party services selected by Customer or made available in the future. Their terms and privacy practices apply to those services. We do not control third parties and may suspend an integration where necessary for security or legal reasons.

We may suspend access for material breach, security risk, non-payment, or legal requirement, using reasonable notice where practicable. Either party may terminate as stated in the applicable order. On termination, Customer may export available Customer Data during [EXPORT PERIOD PLACEHOLDER]; we will delete or return it under the DPA, subject to retained copies required by law or legitimate backup practices.

Disclaimers, liability, indemnity, and disputes

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” We disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. HutchHR does not provide legal, tax, accounting, financial, employment, or payroll advice.

Liability caps, excluded losses, indemnity obligations, governing law, venue, and dispute-resolution process are [LEGAL REVIEW REQUIRED: LIABILITY / INDEMNITY / JURISDICTION / DISPUTE TERMS]. Nothing limits liability that cannot lawfully be limited.
